Since some of our clients share with us personal health information (“PHI”) of their patients or of their other clients, we enter into “business associate
agreements” with such clients, which agreements require us to safeguard PHI and limit our use and disclosure of such information to perform the services
that we provide our clients and for the proper administration and management of our business. As business associates, we are also required to notify our
clients of instances where PHI is used or disclosed in violation of HIPAA. Additionally, we are also required to report “security incidents” (i.e., unauthorized
access, use, disclosure, or destruction of PHI). Note also that our contracts with our clients may also impose additional restrictions and protections on how we
handle PHI and/or other personal information.
We have established an Information Security Officer to oversee our compliance with HIPPA and to implement reasonable safeguards to protect the confidentiality,
integrity and security of PHI and/or other personal information. To that end, we also conduct risk assessments of security, implement reasonable safeguards,
and educate and train our employees on such matters.
